Terms of Service

These Terms of Service (“Terms”) are a binding legal agreement between you (“Customer,” “you,” or “your”) and Responsive Advisors, Inc (“Company,” “we,” “us,” or “our”). By accessing or using the Training Management System (“Service”), you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

  • You must be at least 18 years old and capable of entering into a binding contract.
  • You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.
  • You must provide accurate information when creating your account and keep it up to date.

2. Services Provided

  • The Service allows trainers, organizations, and learners to manage registrations, scheduling, payments, communications, and reporting.
  • We may update or modify features from time to time.
  • Beta or experimental features are provided “as is” and may be discontinued at any time.

3. Fees and Payments

  • Access to the Service requires payment of subscription fees as described at sign-up.
  • Payments are processed through third-party providers (e.g. Stripe). You remain responsible for any processing fees charged by those providers.
  • Subscriptions automatically renew unless canceled in accordance with Section 10.
  • Fees are non-refundable except where required by law.

4. Acceptable Use

You agree not to:

  • Use the Service for unlawful, fraudulent, or abusive purposes.
  • Attempt to copy, reverse engineer, or modify the Service.
  • Upload or transmit harmful code.
  • Use the Service in a way that interferes with other users.

5. Intellectual Property

  • The Service, software, and all related content are owned by the Company and licensed, not sold, to you.
  • You retain ownership of the data you upload to the Service. You grant us a non-exclusive license to host, process, and display that data solely to provide the Service.

6. Data and Privacy

  • Our collection and use of personal information is described in our Privacy Policy.
  • You are responsible for ensuring that you have the necessary rights and consents to upload data to the Service.

7. Suspension and Termination

  • We may suspend or terminate access if you breach these Terms, fail to pay fees, or misuse the Service.
  • Upon termination, your account will be deactivated. We may retain your data for a limited period but have no obligation to store it beyond legal or business requirements.

8. Disclaimers

  • The Service is provided “as is” and “as available.”
  • We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
  • We do not guarantee uninterrupted or error-free operation.

9. Limitation of Liability

  • To the maximum extent permitted by law, our liability for any claim under these Terms is limited to the amount paid by you for the Service in the 12 months before the claim.
  • We are not liable for indirect, incidental, or consequential damages, including lost profits or data.

10. Cancellations and Refunds

  • You may cancel your subscription at any time through your account settings.
  • Cancellations take effect at the end of the current billing cycle.
  • We do not provide refunds for unused periods.

11. Indemnification

You agree to indemnify and hold harmless the Company, its officers, employees, and affiliates from claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of The State of Illinois.
  • Any disputes will be resolved through binding arbitration or in the courts of The State of Illinois, unless otherwise required by law.

13. Changes to These Terms

  • We may update these Terms from time to time.
  • If we make material changes, we will notify you by email or through the Service.
  • Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

14. Miscellaneous

  • These Terms are the entire agreement between you and the Company regarding the Service.
  • If any provision is unenforceable, the remaining terms remain in effect.
  • Our failure to enforce a provision is not a waiver of our right to do so later.
